These Trading Terms apply to the sale and supply of products by Canvas And Panels.
By placing an order with us, you agree to these Trading Terms together with any specific terms agreed with you in writing.
Nothing in these terms affects any statutory rights you may have as a consumer.
1. About Us
Canvas And Panels is a UK-based business supplying canvas panels and related products.
In these Trading Terms, “Canvas And Panels”, “we”, “us” and “our” means Canvas And Panels.
“Customer”, “you” and “your” means the person or business purchasing products from us.
2. Products
We take reasonable care to ensure that product descriptions, dimensions, photographs and specifications displayed on our website are accurate.
Colours and finishes shown in photographs or on a computer, tablet or mobile screen may differ slightly from the actual product.
Where products are handmade, hand-finished or manufactured individually, minor variations may occur. Such variations will not normally be considered defects where they are consistent with the nature of the product.
We reserve the right to make reasonable changes to materials, construction methods or specifications where necessary, provided that the product supplied remains substantially consistent with the description and intended purpose.
3. Prices
All prices are stated in pounds sterling (£) unless otherwise indicated.
VAT will be charged where applicable.
Delivery charges are additional unless expressly stated otherwise and will be displayed or confirmed before the order is completed.
We reserve the right to change our prices at any time. Price changes will not affect orders that we have already accepted.
If an obvious pricing error appears on our website, we reserve the right to correct the error. If an order has been placed using an obviously incorrect price, we will contact you before proceeding.
4. Quotations
Where we provide a quotation for products or bespoke work, the quotation will normally remain valid for the period stated on the quotation.
If no validity period is stated, quotations will normally remain valid for 30 days.
A quotation is not an acceptance of an order. An order is only accepted when we confirm acceptance of the order or begin processing it.
Unless otherwise stated, quotations are based on the specifications and quantities provided at the time.
Changes to specifications, quantities, materials or delivery requirements may result in a revised quotation.
5. Orders
Orders placed through our website or directly with us are subject to acceptance.
We reserve the right to refuse or cancel an order where there is a genuine reason to do so, including:

The product is unavailable.

There is an obvious pricing or description error.

We are unable to obtain required materials.

The requested specification cannot reasonably be produced.

There is suspected fraudulent or unauthorised activity.

Information supplied by the customer is incomplete or incorrect.
If we cancel an order after payment has been received, we will refund the amount paid for the cancelled order.
6. Bespoke and Made-to-Order Products
Some products may be made specifically to a customer's requested size, specification or requirements.
Before manufacture, customers should carefully check all measurements, specifications and other details supplied to us.
Once manufacture of a bespoke product has begun, changes or cancellation may not be possible where permitted by law.
For business customers, bespoke orders cannot normally be cancelled once production has commenced unless we agree otherwise in writing.
For consumers, any applicable statutory cancellation rights will apply, subject to the legal exceptions for goods made to the consumer's specifications or clearly personalised goods.
7. Customer-Supplied Materials and Artwork
Where a customer supplies artwork, images, canvas, materials or other items for us to use or work with, the customer is responsible for ensuring that:

They have the necessary rights and permissions to use the material.

The material supplied is suitable for the agreed purpose.

Measurements and specifications supplied are accurate.
We are not responsible for defects, damage or poor results caused by unsuitable or defective customer-supplied materials.
We will take reasonable care of customer-supplied property while it is in our possession, but customers should not send valuable or irreplaceable items without discussing this with us beforehand.
8. Payment
Payment must be made using the payment methods available at the time of purchase or as otherwise agreed with us.
For orders placed directly with us, we may require payment in full or a deposit before production begins.
For bespoke or larger orders, payment terms will be agreed in writing where applicable.
Unless otherwise agreed in writing, goods remain the property of Canvas And Panels until payment has been received in full.
9. Trade and Business Customers
Where you purchase products from us in the course of your business, you are purchasing as a business customer rather than as a consumer.
Business customers are responsible for checking that products are suitable for their intended application before ordering.
Where we provide product information, measurements or specifications, these are provided to assist you in making your purchasing decision but do not replace your own assessment of suitability where the product is being used for a particular commercial application.
Any trade pricing, discounts or account terms must be agreed with Canvas And Panels in writing.
Unless specifically agreed otherwise, trade accounts are not automatically entitled to credit facilities.
10. Delivery
We will use reasonable efforts to dispatch orders within the timescale stated at the time of purchase.
Delivery dates and times are estimates unless a specific delivery date has been expressly agreed in writing.
Delivery times may be affected by circumstances outside our reasonable control, including courier delays, severe weather, transport disruption or supplier delays.
You are responsible for providing accurate delivery information.
Additional delivery charges may apply where incorrect delivery information results in a failed delivery or where a re-delivery is required.
11. Inspection on Delivery
Customers should inspect products as soon as reasonably possible after delivery.
If a product arrives visibly damaged, please contact us as soon as possible and provide photographs of the product and packaging.
For business customers, any apparent damage, shortage or incorrect items should be reported to us promptly after delivery.
This does not affect any statutory rights that apply to consumers.
12. Faulty, Damaged or Incorrect Products
If you believe that a product is faulty, damaged or does not correspond with your order, please contact us with details of the issue.
We may ask for photographs or other information to help us investigate the problem.
Where we are responsible for the issue, we will provide an appropriate remedy in accordance with the applicable law and the circumstances of the order.
For consumers, nothing in these terms limits their statutory rights under applicable UK consumer law.
13. Returns
Our separate Returns and Refunds Policy explains our arrangements for returns, cancellations and refunds.
Business customers should contact us before returning any products.
Products should not be returned without prior agreement unless otherwise required by law.
Bespoke or made-to-order products may be subject to different return arrangements where permitted by law.
14. Customer Responsibilities
Customers are responsible for:

Providing accurate contact and delivery information.

Checking product dimensions and specifications before ordering.

Providing accurate measurements for bespoke products.

Ensuring that products are suitable for their intended application where the intended use is outside the normal use described by us.

Following any care, handling, storage or installation instructions supplied with the product.
15. Product Use
Our products should be used for their intended purpose and handled appropriately.
Unless we have expressly confirmed otherwise in writing, Canvas And Panels does not warrant that a product is suitable for a particular specialist, structural, safety-critical or commercial application.
If you require a product for a particular application, please contact us before ordering so that we can discuss your requirements.
16. Intellectual Property
All product photographs, descriptions, designs, branding, logos and other original content produced by Canvas And Panels remain our intellectual property unless otherwise stated.
Customers must not reproduce, copy, modify or commercially exploit our content without our written permission.
Where artwork or other material is supplied by a customer, the customer retains responsibility for the rights associated with that material.
17. Limitation of Liability
Nothing in these Trading Terms excludes or limits liability that cannot legally be excluded or limited.
For consumers, nothing in these terms limits or removes any statutory rights or remedies available under applicable consumer law.
For business customers, to the extent permitted by law, Canvas And Panels will not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business, loss of anticipated savings or loss of opportunity arising from the supply of products.
Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded.
18. Events Outside Our Control
We will not be liable for any delay or failure to perform our obligations where the delay or failure is caused by circumstances beyond our reasonable control.
This may include:

Severe weather.

Flood, fire or other natural events.

Transport or courier disruption.

Industrial disputes.
-
Supplier failures.
-
Power or telecommunications failures.

Government restrictions.
-
Shortages of materials.
-
Other circumstances that could not reasonably have been prevented.
Where such circumstances occur, we will make reasonable efforts to minimise the impact and keep customers informed.
19. Cancellation of Business Orders
For business customers, cancellation of an order after acceptance may only be made with our agreement.
Where we agree to cancel an order, we may charge reasonable costs already incurred in connection with the order, including materials purchased, labour, production costs and other non-recoverable expenses.
This does not apply where the cancellation is required because we have breached the contract or where applicable law provides otherwise.
20. Credit Accounts
Where we have expressly agreed to provide a business customer with credit terms, invoices must be paid within the agreed payment period.
We reserve the right to withdraw or suspend credit facilities where payments are overdue.
If an account becomes overdue, we may suspend further orders or production until outstanding amounts have been paid.
Where permitted by law, we reserve the right to charge interest and reasonable recovery costs on overdue business accounts.
21. Retention of Title
For business customers, ownership of goods will remain with Canvas And Panels until we have received payment in full for those goods and any other amounts owed to us where permitted by law.
Risk in the goods will pass in accordance with the agreed delivery terms and applicable law.
22. Complaints
We take customer service seriously and will try to resolve complaints fairly and promptly.
If you have a problem with an order, product or service, please contact us with details of the issue.
We may request photographs, order information or other relevant details so that we can investigate the matter properly.
23. Changes to These Trading Terms
We may update these Trading Terms from time to time.
The latest version will be published on our website.
Changes will not retrospectively alter the terms of an order that we have already accepted unless otherwise agreed or required by law.
24. Governing Law
These Trading Terms are governed by the laws of England and Wales.
Where you are a consumer, you will retain any mandatory rights and protections provided by the laws that apply to you.
Any disputes will be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory consumer rights regarding jurisdiction.
